Pharmsynthez initially was established in 1996 as a structure within Pharmavit Holding, which united a number of pharmaceutical trade and production companies controlling a significant share of the Russian market. In 2001, Pharmsynthez was registered as a separate entity and the current research and production complex was put into service with four fully equipped production lines. In 2007, the Amber Trust II investment fund took a controlling stake in the company and Pharmsynthez continued to focus on developing its proprietary drug portfolio as well as gaining exclusive distribution rights to introduce four new drugs to the Russian markets. The company is majority owned (75%) by the buyout and private equity investment fund, Amber Trust II, which is managed by Firebird Management and Danske Capital. The remainder of the shares in Pharmsynthez are owned by the Chairman of the Board, Dmitry Genkin (17%), who has previously headed a number of large pharmaceutical companies in Russia and Great Britain (including Pharmavit), as well as other senior management (8%). The revenues of Pharmsynthez are generated primarily from sales in Russia (98.7%), with some coming from other CIS markets (Azerbaijan, Ukraine, Belorussia and Kazakhstan). Following the IPO, the company wishes to enter the European and US markets with its existing portfolio and the original drugs it is currently developing. Such an entry could be assisted by planned acquisitions of selected small-and-medium sized European pharmaceutical companies. The company’s current revenue structure can be divided into three segments: • Manufacturing of substances and distribution of ready-made drugs; • Contract manufacturing; • Contract R&D services. Pharmsynthez is developing new medications, technologies of drugs for organ-specific delivery and innovative methods of manufacture for pharmaceutical ingredients. Its unique specialization in contract R&D and manufacturing. The company profile is production and sales of both officinal medicines (original OM) and active pharmaceutical ingredients (API). The company has at its disposal a research and production facility, Pharmsyntez, put into operation in 2001. Pharmsynthez is an international company and its business extends far beyond Russia. Starting from 2000, company-manufactured medicines were made available to the Public Health Services of Ukraine and Georgia, and since 2004 they have been marketed throughout CIS countries. In chemical compounds and API production the Company is intensely cooperating with North-American, Canadian and European companies. The Company is supplying to the market a number of officinal medicines (Neovir®, Segidrin®, Fenasid® and Penkrofton®) used in oncology, gynecology, treatment of immunodeficiencies and tuberculosis. It has two wholly owned subsidiaries located in Moscow and Tallin, Estonia. As of May 21, 2011, the Company's major shareholder was EphaG AS with a stake of 69.23%.
